1. Introduction

Welcome to CodeAdvocate ("we," "our," or "us"). These Terms of Service ("Terms") constitute a legally binding agreement between you and CodeAdvocate governing your access to and use of our website, services, applications, and software (collectively, the "Service").

By accessing, browsing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations. If you do not agree with any part of these Terms, you must not access or use the Service.

These Terms apply to all visitors, users, and others who access or use the Service, including but not limited to individuals, organizations, and entities that create accounts, upload content, or interact with our platform in any manner.

2. Definitions

"Service"

Refers to the CodeAdvocate platform, including but not limited to our website, web applications, mobile applications, APIs, software, tools, features, and all related services provided by CodeAdvocate.

"User," "you," or "your"

Refers to any individual, organization, or entity that accesses, uses, or interacts with the Service, whether registered or unregistered.

"Content"

Refers to any data, information, text, code, software, graphics, images, audio, video, files, documents, or other materials uploaded, posted, transmitted, displayed, or otherwise made available through the Service, including User Content and CodeAdvocate Content.

"User Content"

Refers to any Content that you create, upload, post, transmit, or otherwise make available through the Service, including but not limited to code snippets, documentation, comments, feedback, and communications.

"Account"

Refers to the account you create to access certain features of the Service, which may include personal information, preferences, and access credentials.

3. Acceptance of Terms

By accessing or using the Service, you represent and warrant that:

  • You are at least 18 years of age, or if you are under 18, you have obtained parental or guardian consent to use the Service
  • You have the legal capacity and authority to enter into these Terms
  • You will comply with all applicable local, state, national, and international laws and regulations
  • All information you provide is accurate, current, and complete
  • You will maintain and update your information to keep it accurate, current, and complete
  • You are not located in a country that is subject to a U.S. government embargo or that has been designated by the U.S. government as a "terrorist supporting" country
  • You are not listed on any U.S. government list of prohibited or restricted parties

4. Account Registration

To access certain features of the Service, you must register for an account. When you register, you agree to:

  • Provide accurate, current, and complete information during the registration process
  • Maintain and promptly update your account information to keep it accurate, current, and complete
  • Maintain the security of your account credentials, including your password
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account or any other breach of security
  • Use only one account and not create multiple accounts to circumvent restrictions or limitations

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities, charges, and damages that occur under your account, whether authorized by you or not. We are not liable for any loss or damage arising from your failure to comply with this section.

5. User Content and Intellectual Property

5.1. Ownership of User Content

You retain all ownership rights in and to your User Content. You are solely responsible for your User Content and the consequences of posting, publishing, or sharing it through the Service.

5.2. License to CodeAdvocate

By submitting, posting, or displaying User Content on or through the Service, you grant CodeAdvocate a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, perform, and otherwise exploit your User Content in connection with the Service and CodeAdvocate's business, including without limitation for promoting and redistributing part or all of the Service (and derivative works thereof) in any media formats and through any media channels.

5.3. Content Representations and Warranties

You represent and warrant that:

  • You own or have the necessary licenses, rights, consents, and permissions to use and authorize CodeAdvocate to use your User Content as contemplated by these Terms
  • Your User Content does not and will not violate any third-party rights, including intellectual property rights, privacy rights, or publicity rights
  • Your User Content does not contain any defamatory, libelous, or slanderous material
  • Your User Content complies with all applicable laws and regulations

6. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service:

6.1. Prohibited Activities

You agree not to:

  • Violate any applicable local, state, national, or international law or regulation
  • Infringe upon or violate our intellectual property rights or the intellectual property rights of others
  • Harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability
  • Submit false or misleading information
  • Upload or transmit viruses, Trojan horses, worms, logic bombs, or any other malicious or technologically harmful material
  • Attempt to gain unauthorized access to, interfere with, damage, or disrupt any part of the Service, the server on which the Service is stored, or any server, computer, or database connected to the Service
  • Attack the Service via a denial-of-service attack or a distributed denial-of-service attack
  • Use any robot, spider, or other automatic device, process, or means to access the Service for any purpose, including monitoring or copying any of the material on the Service
  • Use any manual process to monitor or copy any of the material on the Service or for any other unauthorized purpose without our prior written consent
  • Use any device, software, or routine that interferes with the proper working of the Service
  • Introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful
  • Attempt to interfere with, compromise the system integrity or security, or decipher any transmissions to or from the servers running the Service
  • Take any action that imposes, or may impose, an unreasonable or disproportionately large load on our infrastructure
  • Collect or harvest any personally identifiable information, including account names, from the Service
  • Use the Service for any commercial purpose without our express written consent
  • Impersonate or attempt to impersonate CodeAdvocate, a CodeAdvocate employee, another user, or any other person or entity
  • Engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service, or which, as determined by us, may harm CodeAdvocate or users of the Service or expose them to liability

6.2. Content Standards

User Content must in its entirety comply with all applicable federal, state, local, and international laws and regulations. Without limiting the foregoing, User Content must not:

  • Contain any material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable
  • Promote sexually explicit or pornographic material, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age
  • Infringe any patent, trademark, trade secret, copyright, or other intellectual property or other rights of any other person
  • Violate the legal rights (including the rights of publicity and privacy) of others or contain any material that could give rise to any civil or criminal liability under applicable laws or regulations or that otherwise may be in conflict with these Terms
  • Be likely to deceive any person
  • Promote any illegal activity, or advocate, promote, or assist any unlawful act
  • Cause annoyance, inconvenience, or needless anxiety or be likely to upset, embarrass, alarm, or annoy any other person
  • Impersonate any person or misrepresent your identity or affiliation with any person or organization
  • Involve commercial activities or sales, such as contests, sweepstakes, and other sales promotions, barter, or advertising
  • Give the impression that they emanate from or are endorsed by us or any other person or entity, if this is not the case

7. Intellectual Property Rights

The Service and its original content, features, and functionality are and will remain the exclusive property of CodeAdvocate and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

Nothing in these Terms constitutes a transfer of any intellectual property rights from CodeAdvocate to you. All rights, title, and interest in and to the Service (excluding User Content) are and will remain the exclusive property of CodeAdvocate and its licensors.

8. Service Availability and Modifications

We reserve the right to withdraw or amend the Service, and any service or material we provide through the Service, in our sole discretion without notice. We will not be liable if, for any reason, all or any part of the Service is unavailable at any time or for any period.

We may update the content on the Service from time to time, but its content is not necessarily complete or up-to-date. Any of the material on the Service may be out of date at any given time, and we are under no obligation to update such material.

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. You agree that CodeAdvocate will not be liable to you or to any third party for any modification, suspension, or discontinuance of the Service.

9. Fees and Payment Terms

Certain features of the Service may be provided for a fee or other charge. If you elect to use paid features of the Service, you agree to the pricing, payment, and billing policies applicable to such fees and charges, posted or otherwise communicated to you.

9.1. Subscription Services

If you purchase a subscription to the Service, you will be charged the subscription fee, plus any applicable taxes, at the beginning of your subscription and each renewal period thereafter, at the then-current subscription rate. Your subscription will automatically renew at the end of each subscription period unless you cancel your subscription before the end of the current subscription period.

You may cancel your subscription at any time. Cancellation will take effect at the end of the current subscription period, and you will continue to have access to the Service until the end of that period.

9.2. Refund Policy

All fees are non-refundable except as required by law or as otherwise stated in these Terms. If you believe you are entitled to a refund, please contact us at support@codeadvocate.com with your request and reason for the refund.

10. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

10.1. Termination by User

You may terminate your account at any time by contacting us at support@codeadvocate.com or by using the account deletion feature in your account settings. Upon termination, your right to use the Service will immediately cease.

10.2. Termination by Company

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Disclaimers and Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. CODEADVOCATE AND ITS SUPPLIERS AND LICENSORS HEREBY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR PARTICULAR PURPOSE.

THE FOREGOING DOES NOT AFFECT ANY WARRANTIES WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

CodeAdvocate makes no warranty or representation that the Service will meet your requirements, achieve any intended results, be compatible or work with any other software, applications, systems, or services, operate without interruption, meet any performance or reliability standards, or be error-free, or that any errors or defects can or will be corrected.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CODEADVOCATE, ITS AFFILIATES, AGENTS, DIRECTORS, EMPLOYEES, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICE.

UNDER NO CIRCUMSTANCES WILL CODEADVOCATE BE RESPONSIBLE FOR ANY DAMAGE, LOSS, OR INJURY RESULTING FROM HACKING, TAMPERING, OR OTHER UNAUTHORIZED ACCESS OR USE OF THE SERVICE OR YOUR ACCOUNT OR THE INFORMATION CONTAINED THEREIN.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CODEADVOCATE ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT; (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF OUR SERVICE; (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN; (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICE; (V) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE, WHICH MAY BE TRANSMITTED TO OR THROUGH THE SERVICE BY ANY THIRD PARTY; AND/OR (VI) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SERVICE.

THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION.

13. Indemnification

You agree to defend, indemnify, and hold harmless CodeAdvocate and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of (a) your use and access of the Service, by you or any person using your account and password; (b) a breach of these Terms; (c) your User Content; (d) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (e) any claim that your User Content caused damage to a third party.

14. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in English and the arbitral decision may be enforced in any court.

Notwithstanding the foregoing, we may seek injunctive or other equitable relief from any court of competent jurisdiction to protect our intellectual property rights, and you agree that we may do so without first engaging in arbitration.

15. Governing Law and Jurisdiction

These Terms shall be interpreted and governed by the laws of the State of California, United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have had between us regarding the Service.

16. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.

17. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service.

18. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the Service, shall constitute the entire agreement between you and CodeAdvocate concerning the Service.
